1. About These Terms
These Terms & Conditions ("Terms") govern your use of InstaCode Dispatch, a service of WH Software Holdings LLC ("InstaCode Dispatch," "we," "us," or "our"). By using the service — calling a participating locksmith's number answered by our automated assistant, booking through our booking page, or receiving our text messages — you agree to these Terms. Additional booking terms may be presented to you on the booking page when you book and authorize payment; those terms apply to your booking in addition to these Terms.

2. What the Service Is
InstaCode Dispatch is an AI-powered phone answering, booking, and dispatch service for locksmith businesses, currently serving Illinois and Wisconsin. When you call a participating locksmith, your call may be answered by our automated AI assistant, which can answer questions, provide a price estimate, book an appointment, and send you booking, appointment, and secure payment links by text message.
- The locksmith is the business you are hiring. The locksmith is an independent business: it sets and confirms the final price, performs the work, and is responsible for the work and for issuing any refunds. The locksmith is the merchant of record for your payment.
- InstaCode Dispatch is technology only. We provide the software and AI assistant that connect you with the locksmith. We do not perform locksmith work, do not supervise or control the locksmith, and do not take custody of your funds.
3. AI Assistant, Estimates, and Call Recording
You are speaking with an automated AI assistant, not a human. You may ask to "talk to a person" at any time to reach a human or request a callback.
AI price and arrival estimates are non-binding. Any price estimate or arrival-time estimate the assistant gives you is a preliminary, AI-generated estimate provided on an "as-is" basis — it is not a binding quote, offer, or guarantee. The final price is set and confirmed by the locksmith, not by the AI, and may differ from the estimate once the locksmith assesses the actual job. Arrival times may change with traffic, weather, and job volume. The AI may mishear or produce inaccurate information; confirm details that matter to you with the locksmith.
Call recording only with your consent. Calls are recorded and transcribed only after you consent at the start of the call. If you decline, you can continue on a non-recorded basis or request a callback — declining does not affect your ability to receive service.
4. Payments: Hold Now, Charge After Service
Payments are processed by Stripe directly to the locksmith — the locksmith is the merchant of record, and we never store your card number. Our assistant does not ask for and cannot accept card numbers over the phone; payment happens only through the secure payment link.
When you authorize payment, you are authorizing an authorization hold — not an immediate charge. The hold reserves the estimated amount you authorized on your card (this may reduce your available balance, especially on debit cards), but you have not been charged. The charge happens on or after your service is completed, for the final amount confirmed with the locksmith — which may be less than the hold if less work was needed. The payment system will not charge more than the amount you authorized; if the scope of work changes, you must approve a new authorization before any higher amount can be charged. If a hold is never charged, it is released by your bank, typically within several days, depending on your bank.
5. Cancellations, Refunds, and Disputes
If you cancel before a locksmith is dispatched, the authorization hold is released and you are not charged. After service has begun or been completed, charges for work performed may apply.
Because the locksmith is the merchant of record, refunds are determined and issued by the locksmith. If you believe you were charged in error or are unhappy with the service, contact the locksmith first — most issues are resolved fastest that way. Approved refunds are returned to your original payment method; once issued, timing depends on your card issuer, typically 5–10 business days. Nothing in these Terms limits any rights you have under the consumer-protection laws of Illinois or Wisconsin.
6. SMS / Text Messaging Program
Program name and description. The InstaCode Dispatch booking and appointment text message program sends transactional service messages related to your locksmith service request — such as a secure booking link, appointment confirmations and updates, and a secure payment link. These are service messages, not marketing messages.
How you opt in. You opt in to these text messages by verbally agreeing on the call when our automated assistant asks, or by checking the SMS consent box on the booking page. We send texts only after you affirmatively agree. Consent to receive text messages is not a condition of purchase or of receiving service.
Message frequency. Message frequency varies — typically 1–3 messages per service visit.
Fees. Message and data rates may apply.
How you opt out or get help. Reply STOP to cancel/unsubscribe at any time. Reply HELP for help, or contact help@instacodedispatch.com.
Carriers. Carriers are not liable for delayed or undelivered messages.
Your mobile information. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Text messaging originator opt-in data and consent will not be shared with any third parties; SMS opt-in data and consent are shared only with vendors necessary to deliver the messages to you (for example, our SMS provider, Twilio). 7. Acceptable Use
You agree to use the service only to request and manage legitimate locksmith services for property or vehicles you own or are authorized to access. You agree not to:
- Use the service to request entry to property, vehicles, or locks you are not authorized to access;
- Submit false, fraudulent, or abusive service requests or payment authorizations;
- Harass, threaten, or abuse locksmiths, staff, or the automated assistant;
- Attempt to interfere with, probe, or disrupt the service, or access it by automated means other than as intended.
We may decline or cancel service requests that violate these rules.
8. Disclaimer of Warranties
To the maximum extent permitted by law, the booking technology — including the AI assistant and its estimates — is provided "as is" and "as available," without warranty of any kind, express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the technology will be uninterrupted or error-free, or that AI output (including estimates, arrival times, or transcriptions) will be accurate or complete. This disclaimer applies to InstaCode Dispatch's technology only; it does not disclaim any warranty the locksmith provides for the locksmith's own service.
9. Limitation of Liability
To the maximum extent permitted by law: because the locksmith is the seller and merchant of record, InstaCode Dispatch is not responsible for the quality, safety, timeliness, pricing, or outcome of the locksmith's service, and is not liable for differences between an AI-generated estimate and the locksmith's actual price, timing, or work. InstaCode Dispatch is not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the booking technology. Nothing in these Terms limits liability that cannot be limited or excluded under applicable law, or any non-waivable rights you have under the consumer-protection laws of Illinois or Wisconsin.
10. Governing Law
These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws rules, and by applicable U.S. federal law. The service is offered to customers in Illinois and Wisconsin. Nothing in these Terms limits any mandatory consumer-protection rights you have under the laws of the state where you receive service.
11. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the service after changes take effect constitutes acceptance of the updated Terms.
